What was filed
Adani Enterprises Limited (AEL) submitted a media release to the exchanges disclosing that its subsidiary, Adani Airport Holdings Limited (AAHL), has entered into binding agreements to raise primary equity capital from a consortium of domestic and global investors. The consortium comprises Alpha Wave Global, Premji Invest, Temasek and BlackRock managed funds. The company described the deal as one of the largest primary equity investments from financial institutions in India's airport infrastructure sector.
How the deal is structured
The investment is being made through a Share Subscription Agreement and a Shareholders' Agreement, under which the investors will subscribe to new equity shares of AAHL in three tranches. The company said the final tranche is expected to be completed by July 2027, after which the investors will collectively hold a minority stake in AAHL. The transaction remains subject to customary conditions precedent, including receipt of applicable approvals.
Where the proceeds go
AEL said the proceeds will support three priorities: expanding and modernising airport infrastructure across AAHL's portfolio; developing integrated Adani Airport City ecosystems, with mixed-use development planned in a first phase; and scaling passenger-facing and non-aeronautical businesses, including ground handling. The filing frames these investments around building capacity to serve a larger volume of annual passengers, and notes that AAHL currently manages eight airports and serves over 23% of India's total passenger traffic.
Context within the group
The filing places the airports raise alongside AEL's qualified institutional placement completed in July 2026, describing the two together as reflecting continued access by the Adani portfolio to long-term institutional capital. Because AAHL is an AEL subsidiary, the transaction establishes an external institutional valuation benchmark for the airports platform at the subsidiary level, rather than raising capital directly at AEL.
