What the committee approved
On 30 September 2026, the Rights Issue Committee of Adani Enterprises' board approved reminder notices to holders of partly paid-up equity shares who have not yet paid their call money. The notices cover both the First Call and the Second and Final Call arising from the company's rights issue under the Letter of Offer dated 12 November 2025.
The filing states this is the final reminder, with no further calls to follow in respect of the issue. The notices, together with payment instructions and slips, are being sent to shareholders and are also available on the company's website and that of its registrar, MUFG Intime India.
The deadline and what is owed
The last date for payment is Wednesday, 4 November 2026, with a payment window running from 5 October to 4 November. Payment must be made in full by cheque or demand draft; the filing states cash and part payments will not be accepted — part payment is treated as non-payment.
The per-share amounts for each unpaid call, along with the issue price and the split between face value and premium, are set out in the notice.
Consequence of non-payment
The filing is explicit about the consequence of missing the deadline. Shares on which call money remains unpaid will be liable to be forfeited under the Companies Act, 2013, the company's Articles of Association and the Letter of Offer — including any amount already paid on those shares. The company may also deduct outstanding call sums from any future dividend.
For those who pay, the fully paid-up shares are estimated to be credited under the existing ISIN and available for trading within three weeks of the 4 November deadline. The notice also records that the committee may consider converting a proportionately smaller number of shares to fully paid-up where a holder pays less than the full amount due.
