What was filed
Ashok Leyland's Board approved the unaudited standalone and consolidated results for the quarter ended 30 June 2026 (Q1 FY27), reviewed by the Audit Committee and accompanied by a limited review report from Price Waterhouse & Co Chartered Accountants LLP. A press statement alongside described the quarter as a record on volumes, revenue and profit.
On a standalone basis the business is a single segment — commercial vehicles and related components. The consolidated results additionally fold in the financial-services business (largely vehicle and housing finance) run through Hinduja Leyland Finance, along with overseas and other subsidiaries.
The quarter in brief
Per the press statement, commercial vehicle volumes reached the highest-ever first-quarter level, with MHCV truck volumes (excluding defence) up 15% and domestic LCV volumes up 21% year on year. Standalone revenue and profit both rose against the same quarter last year. The company flagged that EBITDA margin slipped to 10.1% from 11.1% a year earlier, attributing the pressure to rising material costs.
Management said it was pursuing better price realisation, cost savings and product-mix improvement to address near-term input-cost pressure, and noted it strengthened its net cash position and continued network expansion during the quarter.
A pending group restructuring
The notes disclose progress on the merger by absorption of Hinduja Leyland Finance into NDL Ventures Limited. Following RBI, CCI and stock-exchange approvals, the companies applied to the NCLT Mumbai Bench on 1 June 2026, and shareholder and creditor meetings held on 30 July 2026 passed the scheme with the requisite majority. The scheme remains subject to final NCLT approval.
The filing also flags an evolving obligation under the Environment Protection (End-of-Life Vehicles) Rules, 2025: the company said it cannot yet make a reliable financial estimate of its Extended Producer Responsibility obligation because the government has not defined certificate pricing.
How the results were reviewed
The results are unaudited and carry a limited review — which provides moderate, not audit-level, assurance. The auditor noted that certain subsidiaries' interim figures were reviewed by other auditors or, in some cases, not reviewed by any auditor, though management represented these as not material to the Group. A separate security-cover certificate confirmed the cover ratio on the company's listed 7.30% NCD series exceeds the level stipulated in the debenture trust deed.
