The deal
Aurobindo Pharma disclosed that A1 Biochem USA Inc — a wholly owned subsidiary of A1 Biochem Labs (India) Private Limited — has acquired 100% ownership of A1 Biochem Labs LLC, making the US firm a step-down subsidiary within the Aurobindo group. Per the filing, the transaction completed on October 2, 2026 for an all-cash consideration, and required no governmental or regulatory approvals. The announcement follows earlier intimations dated July 23, September 12 and October 1, 2026 relating to Apitoria Pharma Private Limited's acquisition of the Contract Research Services business of the A1 Biochem Group.
What the target does
A1 Labs LLC runs a scientific laboratory in Wilmington, North Carolina, providing contract research and chemistry services — including custom synthesis and medicinal chemistry — to pharmaceutical and biotechnology companies. Incorporated in September 2015, it was led by Dr. Rajendra Gadikota, who the company said will continue to be employed with the business after the acquisition. The filing notes the firm is being acquired from Dr. Gadikota, who is also a director of A1 Labs India; the company stated the deal is at arm's length and that its promoter group has no interest in it.
The stated rationale
Aurobindo framed the deal as a step toward a dedicated Contract Research, Development and Manufacturing (CRDMO) platform. The company said Apitoria and A1 Labs India are already engaged in large-scale, regulatory-compliant API manufacturing, and that adding front-end research and development capability is complementary to that base — allowing fuller-service, longer life-cycle engagement with customers across the Active Pharmaceutical Ingredients value chain.
