Balrampur Chini's Q1 profit slips as ₹450 crore preferential issue and new director clear board

June-quarter consolidated profit fell year-on-year while the board approved results, a preferential share allotment already completed, and an independent-director appointment.

What the board approved

At its meeting on 11 August 2026, Balrampur Chini Mills' board acted on three items in one sitting. It approved the unaudited standalone and consolidated results for the quarter ended 30 June 2026, carrying a limited-review sign-off from statutory auditors Lodha & Co LLP. It appointed Ms. Vartika Shukla (DIN: 08777885) as an Additional Director in the Non-Executive Independent category, subject to shareholder approval, for a five-year term running to 10 August 2031. Per her filed profile, Ms. Shukla is a former Chairman and Managing Director of Engineers India Limited with a chemical-engineering background. The board also cleared a revised notice for the company's 50th AGM, to be held on 16 September 2026 via video conferencing.

The quarter, and why profit is soft

Revenue from operations edged higher year-on-year, but consolidated profit for the quarter came in below the same period a year earlier. The company flags in its notes that sugar is a seasonal industry and that a single quarter's results are not representative of full-year performance — a caveat worth carrying when reading the June quarter in isolation.

By segment, the filing shows the Distillery business improving over the year-ago quarter while the Sugar segment's profit before finance costs was lower. The Polylactic Acid (PLA) segment remained loss-making at the segment-result level, though its segment assets have grown substantially over the year, indicating continued capital deployment into that newer line.

A larger share base

During the June quarter the company issued equity shares on a preferential basis at ₹483 apiece (a ₹482 premium over the ₹1 par value), of which it had deployed part towards the stated objects of the issue and temporarily parked the balance in bank deposits and money-market mutual funds pending use.

Separately, employee share plans (ESAR 2023 and RSU 2025) continued to move shares into circulation. Together with the preferential allotment, these lifted paid-up equity share capital during the quarter — a change a holder feels through a larger share count.

For a holder, the quarter pairs softer year-on-year profitability with two changes to the share base — a preferential issue and ongoing employee-plan allotments — that raise paid-up capital. The company's own note that sugar is seasonal and single-quarter results are not representative of the full year is relevant context when reading these figures.
