Bharat Forge Merges German Holding Subsidiary Into Parent to Simplify Structure

Bharat Forge Holding GmbH has merged into Bharat Forge Global Holding GmbH and ceased to exist, with no consideration paid and no impact on the listed entity's financials.

What was filed

Bharat Forge Limited told the exchanges that Bharat Forge Holding GmbH (BFH), a wholly-owned step-down subsidiary, has merged into Bharat Forge Global Holding GmbH (BFGH), its wholly-owned subsidiary and BFH's immediate holding company. The merger followed an agreement dated August 18, 2026 and was entered in the German commercial registry on August 25, 2026, the effective date. From that date BFH ceases to exist. The company said it received the final registry extracts on the filing date.

An intra-group reorganisation

Both entities are German holding companies engaged in acquiring and managing interests in other companies. Because BFGH already held 100% of BFH, the company said no consideration was paid and no shares were issued. As a knock-on effect, Bharat Forge Aluminiumtechnik GmbH — previously a subsidiary of BFH — now becomes a direct subsidiary of BFGH. The company described the rationale simply as simplifying the legal structure of its companies in Germany.

Why it matters to a holder

The company stated there is no implication of the merger for its standalone or consolidated financial statements, and no change in the shareholding pattern of the listed entity. Although the two merging entities are related parties to each other, the company noted the transaction is not with the listed company itself and does not amount to a related party transaction under the Companies Act, 2013 or the Listing Regulations.

BFGH turnover (year ended Dec 31, 2025)
Euro 6,086,504.36
BFH turnover (year ended Dec 31, 2025)

BFGH stake in BFH before merger
100%

This is an internal reorganisation of two wholly-owned German subsidiaries with, per the filing, no consideration, no change in the listed entity's shareholding and no impact on standalone or consolidated financials — relevant chiefly as a structural cleanup rather than a change to the group's economics.
