BPCL Board Clears NCD Programme of Up to ₹5,000 Crore

The state-owned refiner's board approved raising up to ₹5,000 crore through non-convertible debentures in as many as 10 tranches over the next year.

What was filed

Bharat Petroleum Corporation Limited told the exchanges that its board, meeting on 18 August 2026, approved a debt-raising plan: the issue of secured or unsecured redeemable Non-Convertible Debentures (NCDs) in one or more series or tranches, capped at 10 tranches, within a one-year window. The intimation follows an earlier one dated 13 August 2026 and was made under Regulations 30 and 51 of the SEBI LODR framework.

What is still open

The approval sets a ceiling and a structure, but not the specifics. Per the filing, allotment details and other terms — including coupon, tenor and the size of each tranche — will be decided and disclosed to the exchanges separately when each series or tranche is issued. This is an enabling authorisation rather than a completed borrowing.

Why it matters to a holder

The board has given BPCL headroom to tap the debt market on a flexible, tranche-by-tranche basis over the coming year. Whether and how much the company actually draws down, and on what terms, will become clear only as individual tranches are announced.

Maximum NCD programme size
Up to ₹5,000 crore
Maximum number of tranches
Up to 10 tranches

The approval authorises up to ₹5,000 crore of NCD issuance within a year but leaves coupon, tenor and actual amounts to be set at each tranche; holders will see the real terms only in subsequent disclosures.
