What the board approved
Bharat Petroleum Corporation's board met on 23 October 2026 and approved unaudited standalone and consolidated results for the quarter and half year ended 30 September 2026, with a limited review report from the auditors. The results cover the September quarter — Q2 FY27 on the company's reporting calendar — and the six-month period.
The quarter swung back to profit after the June quarter, which the company reported as a loss. For the April–September 2026 half year, the filing attributes lower profit "mainly due to suppressed marketing margin on certain petroleum products which was partially offset by higher refining margin."
The margin story and the LPG buffer
Running through the numbers is pressure on fuel marketing margins, which the company says persisted even as refining margins improved. On a half-year basis, profit was well below the year-earlier period.
A second moving part is the LPG under-recovery mechanism. The filing states BPCL carried a cumulative net negative buffer on domestic LPG sales as at 30 September 2026, and that revenue from LPG sales has not been recognised to that extent. Against this, the Ministry of Petroleum and Natural Gas has approved a compensation amount payable in twelve equal monthly instalments; the company recognised six instalments during the reporting period under 'Revenue from Operations', reducing the negative buffer correspondingly.
A governance qualification in the auditors' report
Under 'Other Matters', the auditors noted that BPCL did not comply with SEBI Listing Regulations on the required combination of independent directors throughout the half year. Owing to the non-availability of the requisite independent directors, the company was not in compliance with provisions on board composition and the constitution of mandatory committees, and did not have a woman director on its board. The company's own notes add that it could not constitute an Audit Committee at the time the results were approved.
The auditors stated that their conclusion on the financial results is not modified in respect of this matter — the qualification concerns board constitution, not the figures themselves.
Consolidated items and portfolio moves
On a consolidated basis, the group reported a higher half-year profit than standalone, helped by exceptional income the filing attributes to the reclassification of a foreign-currency translation reserve gain following the conversion of its Brazilian joint venture (IBV Brasil) into an indirect wholly owned subsidiary of Bharat PetroResources. The filing also describes a restructuring of the Mozambique Area 1 project, under which assets were derecognised from capital work-in-progress and reclassified as investment in equity-accounted investees.
