What was filed
Bharat Petroleum Corporation Limited (BPCL) told the exchanges that BPRL Ventures BV, an indirect wholly owned subsidiary, has taken full control of IBV Brasil Petroleo Limitada (IBV), a Brazil-registered company engaged in the exploration and production of oil and gas that holds participating interests in Brazilian oil and gas concessions. The transaction was completed on 1 July 2026 and settled in cash. Per the filing, it is not a related party transaction and was done at arm's length.
How the stake moved
BPRL Ventures BV previously held 65.40% of IBV. As part of the acquisition process, shareholder loans to IBV were converted into equity, which brought its holding to 60.86% immediately before the acquisition. This transaction lifted that to full ownership. BPCL noted that concurrence from DIPAM and NITI Aayog was received for the acquisition.
What BPCL says it gains
The company said the acquisition provides access to additional equity oil and gas, contributing to India's energy security. IBV, incorporated on 26 December 2005, reported nil turnover for calendar years 2023, 2024 and 2025 per the filing — consistent with its role as a holder of participating interests in Brazilian concessions rather than an operating producer with revenue.
