What was filed
BSL Limited told the exchanges it has signed agreements to acquire equity in Bhadla Minigrid Solar 5 Private Limited, a special purpose vehicle formed to own and operate a captive power plant. The company said the transaction is structured to meet the conditions under applicable electricity laws for captive power consumption. It is an all-cash deal expected to complete in about four months.
What the SPV is for
Per the filing, Bhadla Minigrid Solar 5 was incorporated in India on 31 January 2025, has not yet begun operations, and reports nil turnover over the last three years. The SPV is being set up as a qualifying solar captive project at Setrawa, Phalodi district, Jodhpur, Rajasthan. BSL said the aim is to augment the captive renewable-energy capacity serving its plants at Mandpam, Bhilwara, citing long-term cost efficiency and sustainability. The company added that the acquisition is not a related-party transaction and that its promoter and group companies have no interest in the target.
Why it matters to a holder
This is a small, early-stage step: a minority stake in a newly incorporated entity that has not started operating, taken to secure captive solar supply for BSL's manufacturing base rather than to enter the power business. The captive structure ties BSL's own generation entitlement to the project. The commercial impact will depend on the plant being built and commissioned — none of which the filing reports as complete.
