CRAUL is a joint venture between Coal India and Rajasthan Rajya Vidyut Urja Nigam Limited (RVUNL). The subscription is by way of cash consideration for equity shares, and the filing states the transaction does not fall within related-party transactions.

About the joint venture

CRAUL was incorporated on 9 June 2025 to develop, construct and operate solar, pumped-storage and wind power projects, with power to be sold to RVUNL under the Electricity Act, 2003, or to other DISCOMs and open-market or C&I customers across India. Per the filing, the entity has no turnover history and operates in India. The rights issue preserves the existing ownership split — Coal India at 74% and RVUNL at 26% — and no governmental or regulatory approvals are required. The company said completion is expected within 30 days from the opening of the rights issue.
