Cochin Shipyard's Q1 FY27 profit falls; auditors flag suspended vessel contracts and missing audit committee

June-quarter consolidated net profit fell year-on-year as auditors flagged continuing uncertainty over two suspended passenger-vessel contracts and the company's inability to constitute an audit committee.

What was filed

Cochin Shipyard's board approved its standalone and consolidated unaudited results for the quarter ended 30 June 2026 at a meeting on 14 August 2026, filed under Regulation 33 of the LODR Regulations. The statutory auditors returned an unmodified limited-review conclusion. The consolidated results cover the holding company and its two wholly owned subsidiaries, Udupi Cochin Shipyard and Hooghly Cochin Shipyard.

The quarter in brief

On a consolidated basis, revenue from operations was broadly flat against the same quarter a year earlier while net profit was lower year-on-year, per the filing. Segment disclosures show shipbuilding revenue rose sharply against the prior-year quarter while ship-repair revenue fell. The company retained its AAA credit rating across all reported periods.

One disclosure stands out: in the absence of the requisite number of independent directors, the company was unable to constitute an audit committee under Section 177 of the Companies Act and Regulation 18(1) of the LODR Regulations at the time the results were approved. The results were instead reviewed and approved by the board.

The suspended vessels — an ongoing overhang

The auditors' emphasis-of-matter paragraph and Note 6 describe two 1,200-passenger vessels (yard nos. SH.0023 and SH.0024) contracted in 2016 with a Union Territory administration. Delivery dates, as extended, expired in April and October 2023, and construction has been abated at the buyer's request. Roughly 55% of the work is complete on each vessel.

Both the Andaman & Nicobar and Lakshadweep administrations have confirmed willingness to take over a vessel each in its current under-construction state, subject to modifications — but the scope of those modifications, the commercial terms and cost reimbursement remain unfinalised. The company says it cannot yet determine the financial impact of factors such as vessel ageing, berthing occupation and revalidation of bank guarantees furnished to the administration. No liquidated-damages provision has been recognised beyond the expired delivery dates.

For holders, the quarter shows a year-on-year decline in profit alongside two unresolved matters disclosed in the filing itself: continued suspension of two passenger-vessel contracts with an undetermined financial impact, and the company's inability to constitute an audit committee for want of independent directors. Both are descriptive facts from the filing, not indicators of future outcome.
