Cochin Shipyard signs agreements to buy 23% of Dutch ship-designer Conoship

CSL has executed share-purchase and cooperation agreements to acquire 23% of Netherlands-based Conoship International Holding B.V. for cash, with completion expected within two months.

What was filed

Cochin Shipyard Limited (CSL) told the exchanges that on 24 September 2026 it executed the Share Purchase Agreement and the Shareholders' and Cooperation Agreement with the shareholders of Conoship International Holding B.V. The step follows the board's approval, first intimated on 28 January 2026, to acquire a minority stake in the Dutch ship-design and engineering company. Per the filing, clearance from the Department of Investment and Public Asset Management (DIPAM) has been obtained, the consideration is in cash, and completion is expected within two months. The transaction is not a related-party transaction.

What Conoship brings

Conoship, incorporated in February 2014 and based in the Netherlands, is described in the filing as a ship-design and engineering company whose portfolio spans general cargo vessels, tankers, dredgers, ferries and offshore vessels, serving shipyards worldwide. According to the filing, the stake is intended to help CSL penetrate European coastal and short-sea shipping with advanced design solutions, with the two firms jointly exploring opportunities in alternate fuels for short-sea vessels, coastal shipping, inland waterways and related marine, shipping and offshore services.

Scale of the target

The disclosure sets out Conoship as a small design house rather than a large operating asset. Turnover has risen over the last three years, and net profit for the most recent year is a fraction of turnover — the figures are in the key-numbers panel. The stake is a minority 23%, and the cash outlay is small relative to CSL's own scale.

Cost of acquisition
EUR 2.30 million
Group Net Profit (PAT), FY2024
EUR 0.22 million
Group turnover (excl. intercompany), 2022
EUR 2.4 million
Group turnover (excl. intercompany), 2023
EUR 3.51 million
Group turnover (excl. intercompany), 2024
EUR 4 million

The filing confirms a board-approved, DIPAM-cleared minority acquisition has moved from proposal to signed agreements, with completion expected within two months. For a holder, it marks CSL's entry into European ship design via a small stake; the cash outlay is modest relative to the company's scale.
