The leadership change
At its meeting on August 5, 2026, the board of Cummins India Limited noted and accepted the resignation of Managing Director Shveta Arya. She was appointed Managing Director with effect from September 1, 2024 for a three-year term, and has resigned as Managing Director, Director and Key Managerial Personnel to pursue external opportunities.
Per the filing, she will cease in those roles — and step down from her associated committee positions — from August 31, 2026. Her resignation letter states there are no reasons other than those given. The company said it is evaluating suitable candidates and will inform the exchanges once the appointment process is complete.
The quarter
At the same meeting, the board approved the unaudited standalone and consolidated financial results for the quarter ended June 30, 2026. The statutory auditor, Price Waterhouse & Co Chartered Accountants LLP, issued an unmodified limited-review conclusion on both — a review, not a full audit.
The results are reported across two segments: 'Engines', comprising Cummins India and other group companies, and 'Lubes', represented by the 50% joint venture Valvoline Cummins Private Limited, accounted for under the equity method. The prior-year quarter included exceptional items tied to the sale of subsidiary Cummins Sales & Service Private Limited and to the newly notified Labour Codes; the current quarter carries no such exceptional items.
Other governance items
The board also approved a Postal Ballot Notice seeking members' approval for a revision in commission payable to the company's Independent Directors, and appointed M/s. Mehta & Mehta, Company Secretaries, Pune, as scrutinizer for the e-voting process. These are procedural steps that follow the normal member-approval timeline.
