What was filed
Dixon Technologies told the exchanges that it, Gemtek Technology Co., Ltd. and Dixon Electroconnect Private Limited executed a joint venture agreement on 7 October 2026, following a binding term sheet signed on 9 June 2026. Under the agreement, Dixon Electroconnect — today a wholly owned Dixon subsidiary — will manufacture and supply Optical Transceivers (SFP, Small Form-Factor Pluggable) and BOSA (Bidirectional Optical Subassembly), or other telecom products the parties may agree on, in India. The filing notes the transaction remains subject to customary conditions precedent and is expected to complete by 3 February 2027.
How the venture is structured
The JV will be effectuated through subscription of fresh equity shares in Dixon Electroconnect by both Dixon and Gemtek, with the exact number of shares based on valuation reports. The filing states neither party will acquire a stake in the other. On governance, Dixon may nominate three directors and the Chairman, while Gemtek may nominate two; both parties hold information rights. Dixon's own subscription may constitute a related party transaction because Dixon Electroconnect is currently its wholly owned subsidiary — the company said this will be undertaken on an arm's length basis, and that Dixon and Gemtek are not related parties as on date.
Why Dixon says it matters
Per the filing, the venture is expected to let Dixon enter the data centre, telecom and optical-connectivity ecosystem by combining its large-scale manufacturing with Gemtek's expertise in high-speed optical modules and networking technologies, addressing demand from artificial intelligence, cloud and edge computing, hyperscale data centres and next-generation optical communication. The filing is candid that this is a start-up effort: as on 31 March 2026 the JV company had not commenced operations.
