What the board approved
At its meeting on July 22, 2026, Eternal Limited's board approved a business transfer agreement (BTA) with Carthero Technologies Private Limited (CTPL), a wholly owned subsidiary, to transfer the business operating as 'Nugget by Zomato' to CTPL. Per the filing, the transfer is a slump sale on a going-concern basis, part of what the company describes as an internal restructuring exercise to streamline its corporate structure. CTPL will run the unit as a B2B AI-driven support platform. The transfer is expected to complete within 30 days of executing the BTA.
Scale of the unit, and what else the board passed
On a standalone basis the Nugget business is a small part of Eternal — the filing puts its FY2025-26 revenue and net worth as fractions of a percent of the company's standalone totals (see key figures). The board separately approved the unaudited June-quarter results, reviewed by Deloitte Haskins & Sells, and set the 16th AGM for August 26, 2026. The results carry an ongoing GST matter: the company disclosed orders and show-cause notices from GST authorities on GST on delivery charges, which it is contesting and on which it says it has a strong case on merits.
