FirstCry's GlobalBees to exit Mush Textile, selling its entire 51.54% stake

GlobalBees has signed an MOU to sell its full holding in Mush Textile to two buyers, with completion expected on or before 15 October 2026.

What was filed

Brainbees Solutions (FirstCry) disclosed that its subsidiary, GlobalBees Brands Private Limited, signed a Memorandum of Understanding on 7 October 2026 to sell its entire stake in Mush Textile Private Limited. The transaction covers the "Mush" and "BePlush" brands. Once the full sale consideration is received, the shares will be transferred and Mush will cease to be a subsidiary of GlobalBees — and a step-down subsidiary of Brainbees. Completion is expected on or before 15 October 2026.

The buyers and the structure

The stake is being sold to two buyers: Mr. Nihar Gosalia, an existing shareholder of Mush, and Mr. Vaishvik Brahmbhatt. Brainbees said it has no identifiable promoter or promoter group, and that neither buyer is related to its group companies beyond Gosalia's existing shareholding and directorship in Mush. The company classified the transaction as a related party transaction done on an arm's length basis, undertaken outside any scheme of arrangement.

Scale and tax treatment

Mush is a small part of the group — the filing shows it contributed only a modest fraction of turnover and net worth in FY2025-26 (figures in the key-facts panel). Brainbees added that the consideration receivable by GlobalBees exceeds the cost of acquiring its investment in Mush, so GlobalBees will recognise a resulting capital gain and pay the applicable capital gains tax.

The sale removes one of GlobalBees' acquired brand businesses from the Brainbees group. The filing itself frames Mush as a very small contributor to turnover and net worth, so holders may read this as a portfolio clean-up rather than a change to the core business.
