What was approved
Goodluck India Limited's Bonus Committee met on the morning of 24 August 2026 and approved the allotment of bonus equity shares in a **2:1 ratio** — two new fully paid-up shares for every one existing share. Shareholders on the register as of the record date of 21 August 2026 are entitled to the allotment. The deemed date of allotment is 24 August 2026, and per the filing the bonus shares become available for trading on BSE and NSE from 25 August 2026.
How the capital changed
The bonus issue triples the company's paid-up equity share capital. Per the filing, the increase was funded by capitalising a sum drawn from the Securities Premium Account, per the audited financial statements for the year ended 31 March 2026 — an accounting reclassification within equity rather than a cash event. The new shares rank pari-passu with existing shares in all respects. Bonus shares are credited only in dematerialised form; for holders in physical form, the company said it will credit the shares to a separate demat suspense account.
Why it matters to a holder
A bonus issue does not change a shareholder's proportional ownership or the total value of their holding — the number of shares held rises while the per-share value adjusts. What changes mechanically is the share count outstanding and, correspondingly, per-share metrics going forward. The filing records only the allotment and the resulting capital structure; it makes no statement about business performance.
