ITC Infotech absorbs two cloud-tech units as merger takes effect

ITC said the amalgamation of step-down subsidiaries Blazeclan Technologies and Cloudlytics Technologies into its IT arm ITC Infotech became effective on 1 September 2026.

What was filed

ITC Limited told the exchanges that its wholly owned subsidiary ITC Infotech India Limited has completed the amalgamation of two step-down wholly owned subsidiaries — Blazeclan Technologies Private Limited (BTPL) and Cloudlytics Technologies Private Limited (CTPL) — into itself. Per the filing, the Scheme of Amalgamation was sanctioned by the National Company Law Tribunal, Kolkata and Mumbai Benches, and became effective upon fulfilment of all conditions.

What changes on the ground

From the effective date, the company said BTPL and CTPL stand dissolved without winding up and have ceased to be subsidiaries of ITC. The filing sets an Appointed Date, meaning the accounting effect of the combination relates back to that date. Because both entities were already wholly owned within the group, this is a consolidation of existing units rather than an acquisition of outside businesses.

Effective date
1 September 2026
Appointed Date
1 October 2024

For a holder, this is an internal restructuring within ITC's IT services business rather than a change in the group's economic ownership; the filing discloses no consideration, valuation or financial impact figures.
