ITC takes full ownership of Yoga Bar maker Sproutlife Foods

ITC has bought the remaining shares of Sproutlife Foods, making the Yoga Bar owner a wholly owned subsidiary from 28 September 2026.

What was filed

ITC told the exchanges that on 28 September 2026 it acquired an additional 13,445 equity shares of Sproutlife Foods Private Limited through secondary purchase, lifting its holding to the full share capital. Sproutlife has become a wholly owned subsidiary of ITC with effect from the same date. The company noted that no governmental or regulatory approvals were required and that the transaction is not a related party transaction. The consideration was in cash.

The business acquired

Sproutlife manufactures and sells food products under the trademark 'Yoga Bar', which ITC describes as a digital-first brand with high salience of online sales across D2C and e-commerce platforms and a growing presence in offline stores. Incorporated in February 2015 and operating in India, the business has grown its reported turnover steeply over the three years disclosed in the filing. ITC framed the acquisition as consistent with its stated strategy to augment its future-ready portfolio in the foods segment.

From partial stake to full control

The step completes a move ITC had signalled in earlier communications. Per the filing, ITC's shareholding in Sproutlife rose to the full share capital with this purchase, from a stake the filing describes as roughly under half. Bringing the brand fully in-house consolidates a food business that was previously an associate-level interest into a wholly owned unit within ITC's FMCG portfolio.

For holders, the move converts a partial interest in the Yoga Bar business into full ownership, folding a fast-growing branded-foods asset entirely into ITC's FMCG segment; the filing states the cost and stake but does not quantify any impact on ITC's consolidated financials.
