Jagsonpal Completes Acquisition of Group Pharma's Wellness Portfolio

The company told the exchanges that its Business Transfer Agreement with Group Pharmaceuticals, signed 23 September 2026, was consummated effective 1 October 2026 after conditions precedent were met.

The transaction has closed

Jagsonpal Pharmaceuticals told the NSE and BSE that its acquisition of the Wellness Portfolio of Group Pharmaceuticals Limited ("Group Pharma") has been consummated with effect from 1 October 2026, following fulfilment of the conditions precedent under the Business Transfer Agreement (BTA) signed on 23 September 2026. An investor presentation on the acquisition was enclosed for the exchanges and shareholders.

The September intimation had signalled intent; this update confirms completion, moving the deal from announced to done.

What the portfolio adds

Per the enclosed presentation, the acquired business is an established Rx branded-generics wellness portfolio built around two key brands across about six SKUs, with a field presence across six states — Uttar Pradesh, Rajasthan, Karnataka, Maharashtra, MPCG and Goa. The company describes it as a complementary, consumer-facing "wellness pillar" alongside its existing prescription franchise.

Jagsonpal frames the deal as its third inorganic step in roughly four years, after the Yash Pharma (May 2024) and Aequitas Healthcare (July 2026) acquisitions, and as a move toward its stated ₹500 crore topline ambition.

How the consideration is structured

The presentation sets out a tiered consideration: an upfront amount, a larger maximum consideration with a portion tied to FY28 sales, and the revenue the portfolio generated in prior years. The figures appear in the key-numbers panel.

The company said it structured almost half the consideration as deferred payments linked to future sales — a structure it characterises as preserving liquidity and aligning the payout with the portfolio's performance. It also cites cash reserves it describes as in excess of ₹100 crore and a cash balance of around ₹170 crore as of Q1FY27 as context for its capacity to fund inorganic moves.

The filing confirms a signed acquisition has closed, so the acquired wellness portfolio forms part of Jagsonpal's business from 1 October 2026; holders may note the company's disclosure that nearly half the consideration is deferred and tied to FY28 sales, linking part of the payout to the portfolio's future performance.
