Jagsonpal to acquire Group Pharmaceuticals' Wellness Portfolio via slump sale

The company signed a Business Transfer Agreement to buy the women's-health portfolio on a going-concern basis, with consideration capped at ₹46.7 crore.

What was filed

Jagsonpal Pharmaceuticals told the exchanges it has entered into a Business Transfer Agreement with Group Pharmaceuticals Limited to acquire the seller's Wellness Portfolio. The deal is structured as a slump sale on a going-concern basis, covering the identified products, assets, contracts, employees and other arrangements of the business, which operates in India. The company said the transaction does not fall within the purview of related party transactions, and that no promoter, promoter group or group company holds any interest in the portfolio or the seller. No governmental or regulatory approvals are required.

The deal terms

The consideration is split between an amount payable on closing and a later earn-out tied to FY2027-28 sales, subject to an overall cap (see key figures). Completion is expected on or before 01 November 2026, subject to conditions precedent and the other terms of the BTA. Think Law Advisors represented Jagsonpal and Tatva Legal advised Group Pharma.

Why it fits the existing business

Jagsonpal describes itself as focused on Gynaecology, Orthopaedics and Dermatology, with a pan-India sales team of over 1,000 professionals. Management framed the purchase as strengthening its pharmaceutical portfolio and expanding its presence in complementary therapeutic segments, especially women's healthcare, and said it intends to integrate the portfolio using its existing distribution network and commercial infrastructure. The filing characterises the approach as asset-light and focused on cross-selling across the combined portfolio.

₹23.7 crore
Additional consideration (FY2027-28 sales-linked)

For a holder, the filing sets out a defined acquisition with a capped consideration and a portion of the price contingent on FY2027-28 sales; the transaction is not yet complete and remains subject to conditions precedent and a targeted closing on or before 01 November 2026.
