JSW Energy receives certified NCLT order sanctioning GE Power India demerger

JSW Energy says it has the certified copy of the Mumbai NCLT order approving the scheme under which it is the resulting company, with effective and record dates still to be announced.

What was filed

JSW Energy told the exchanges it has received a certified copy of the order of the National Company Law Tribunal, Mumbai Bench, sanctioning the Scheme of Arrangement between GE Power India Limited (the demerged company) and JSW Energy Limited (the resulting company) and their respective shareholders. The scheme is under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013.

The NCLT passed the sanction order on 1st October 2026, and the company received the certified copy on 13th October 2026. The order is available on the company's website.

What remains pending

The company said it will intimate the Effective Date and the Record Date to the stock exchanges in due course. In an Indian scheme of arrangement, these dates govern when the arrangement takes legal effect and which shareholders are entitled to any consideration under the scheme.

This intimation is a procedural step confirming receipt of the certified court order. It does not disclose the commercial terms of the scheme, which are set out in the scheme document on the company's website.

The certified order moves the GE Power India demerger closer to completion, but the arrangement becomes operative only once JSW Energy notifies the effective and record dates — the record date determining shareholder eligibility under the scheme.
