Kingfa India proposes new Chairman & MD; ₹20 final dividend, record date 21 September

Kingfa's 42nd AGM notice puts a new Chairman & Managing Director, a Whole-time Director and a new Independent Director to a shareholder vote, alongside a final dividend for FY26.

What was filed

Kingfa Science & Technology (India) filed the notice for its 42nd Annual General Meeting, to be held on Monday, 28 September 2026 through video conferencing. The Board has recommended a final dividend for the financial year ended 31 March 2026, payable only if members approve it at the AGM. Per the filing, the record date for dividend eligibility and the cut-off date for e-voting is Monday, 21 September 2026, with remote e-voting open from 25 to 27 September 2026.

A refreshed top team goes to shareholders

Beyond the routine dividend and accounts-adoption items, the notice carries a substantive round of senior appointments, all effective 15 August 2026 and now placed before members for approval. Mr. Wang Dazhong — previously the company's Chief Executive Officer — is proposed as Chairman & Managing Director for a three-year term, not liable to retire by rotation. Mr. Sethuraman Shanmugasundaram, the current Business Unit Head leading all three business units, is proposed as Whole-time Director designated Chief Operating Officer, also for three years. Ms. Apurva Pradeep Joshi, a forensic-accounting and governance specialist, is proposed as a Non-Executive Independent Director for five years. Separately, Mr. Sun Yajie moves from Whole-time Director to Non-Executive Non-Independent Director and comes up for re-appointment by rotation.

Other business on the agenda

The notice also seeks approval to pay a fixed annual commission to each Independent Director in addition to sitting fees, and ratification of the cost auditor's remuneration for the year ending 31 March 2027. Per the filing, the dividend will be paid on or before 28 October 2026 through electronic mode, subject to tax deduction at source.
