Lupin takes full ownership of Philippine arm Multicare after share buyback

Multicare Pharmaceuticals Philippines completed the buyback of its balance shares, becoming a step-down wholly owned subsidiary of Lupin via Netherlands entity Nanomi from October 1, 2026.

What was filed

Lupin Limited told the BSE and NSE that Multicare Pharmaceuticals Philippines, Inc. (MPPI) has completed the buyback of its balance shares. The filing follows an earlier intimation dated July 1, 2026, in which Lupin had said MPPI was in the process of completing the buyback.

With the buyback done, MPPI has become a wholly owned subsidiary of Nanomi B.V., the Netherlands — itself a wholly owned subsidiary of Lupin — and therefore a step-down wholly owned subsidiary of the Company, effective October 1, 2026.

Why it matters to a holder

The change consolidates full ownership of the Philippine operation within the Lupin group. The minority stake that previously sat outside full group ownership has been bought back, leaving no outside shareholders in MPPI — a corporate-structure step rather than an operational one.

The filing is a Regulation 30 disclosure stating only the completion of the buyback and the resulting ownership status. It does not disclose the consideration paid or any financial terms.

The buyback completes Lupin's full ownership of its Philippine subsidiary through its Netherlands holding entity; the filing discloses the ownership change but not the financial consideration, so the direct impact on group accounts is not stated.
