Lupin's VISUfarma licenses European rights to presbyopia eye drop YUVEZZI

Lupin's wholly owned Dutch subsidiary has secured exclusive rights to commercialize the FDA-approved once-daily eye drop across the EU, UK, Switzerland, Norway and Iceland, for consideration of up to €75 million plus royalties.

What was filed

Lupin told the exchanges that VISUfarma B.V., its wholly owned Netherlands subsidiary, has signed an Exclusive License Agreement with U.S.-based Visus Therapeutics, Inc. — a subsidiary of Tenpoint Therapeutics — to commercialize YUVEZZI, a proprietary ophthalmic product indicated for presbyopia in adults. The rights cover the European Union, the United Kingdom, Switzerland, Norway and Iceland.

Under the agreement VISUfarma holds exclusive rights to undertake regulatory activities, commercialization, marketing, promotion, distribution and sale of the product in these markets. The filing describes YUVEZZI as the first and only FDA-approved once-daily, dual-agent eye drop for presbyopia, combining carbachol and brimonidine tartrate.

How the deal is structured

The money side of the arrangement has two parts, the company said: a strategic equity investment in Visus made through a SAFE (Simple Agreement for Future Equity) instrument, and a series of regulatory and commercial milestone payments contingent on specified submissions, approvals and commercial thresholds. Beyond these, the agreement provides for royalty payments based on net sales and additional sales-milestone payments.

The licence runs on a country-by-country basis until the twentieth anniversary of first commercial sale in each country, after which VISUfarma may renew in five-year successive periods at its sole discretion. Lupin noted the transaction is not a related-party transaction and that no promoter or group company has an interest in it.

Why it matters to a holder

Lupin frames the arrangement as an extension of its Specialty Care strategy, building on its earlier acquisition of VISUfarma to broaden its European vision-care franchise. The disclosure adds a defined asset to Lupin's specialty portfolio in named developed markets, with the bulk of the headline consideration tied to milestones and equity rather than paid upfront. The filing does not quantify expected revenue or the timing of commercial launch in the licensed territories.

Strategic investment via SAFE
€20 million
Regulatory and commercial milestone payments
up to €55 million
Initial licence term
20 years from first commercial sale (per country)

The arrangement gives a Lupin subsidiary exclusive European commercialization rights to a specific presbyopia product, with most of the €75 million headline figure structured as an equity stake and milestone-contingent payments rather than a fixed upfront cost; the filing does not disclose expected revenue or launch timing, so the financial impact remains undefined at this stage.
