MCA sets 25 August 2026 hearing for NHPC–Jalpower merger

NHPC told exchanges the Ministry of Corporate Affairs has fixed a hearing date in the scheme to absorb wholly owned subsidiary Jalpower Corporation into the parent.

What NHPC filed

NHPC informed the NSE and BSE that the Ministry of Corporate Affairs (MCA) has intimated a hearing date in the scheme of amalgamation between Jalpower Corporation Limited and NHPC Limited. Per the filing, Jalpower Corporation is a wholly owned subsidiary of NHPC (the Transferor Company) and NHPC is the Transferee Company. The scheme was filed under Sections 230–232 of the Companies Act, 2013. The update continues an earlier letter dated 29 September 2025 and was made under Regulation 30 of SEBI's LODR Regulations.

Where the process stands

The disclosure marks a procedural milestone, not a completion: it confirms the merger has reached the scheduled-hearing stage before the authority. NHPC said all necessary updates will be shared in due course, so terms and outcomes are not set out in this filing.

MCA hearing date
25 August 2026

The filing marks a step in the legal process to absorb a wholly owned subsidiary into NHPC; since Jalpower is already fully owned, the amalgamation is an internal consolidation, and holders may watch for the hearing outcome and any terms the company later shares.
