What was filed
Ola Electric Mobility Limited has submitted its Letter of Offer, dated 7 October 2026, to the NSE, BSE and SEBI for a rights issue of partly paid-up equity shares. The company is offering shares to eligible shareholders in a ratio of 2 Rights Equity Shares for every 25 fully paid-up shares held on the record date of 13 October 2026, at an issue price of ₹27 per share (including a ₹17 premium on a ₹10 face value).
The structure is partly paid: investors pay 60% of the price on application, with the balance due on a First and Final Call the company expects to complete on or before 31 October 2027, though the board retains the right to change that timing.
Where the money is intended to go
Per the filing, the company proposes to use the net proceeds for three stated objects: repayment or pre-payment of certain outstanding borrowings of the company and its material subsidiaries; expenditure on organic growth initiatives; and general corporate purposes. Of the estimated net proceeds, the filing earmarks ₹350 crore toward borrowings, ₹400 crore toward organic growth (routed as equity into material subsidiaries), and the balance to general corporate purposes.
The filing discloses that these objects overlap with those of Ola Electric's prior capital raises — a ₹5,500 crore IPO in August 2024 and a ₹780.24 crore QIP in June 2026 — portions of which remained unutilized as of 20 September 2026. The company states the current issue relates to incremental funding needs and does not represent duplication.
Promoter participation and pledge
The filing records that the promoter, Bhavish Aggarwal, has confirmed he will subscribe to the full extent of his rights entitlement. Because the promoter and promoter group have undertaken to subscribe fully, and the objects do not finance project capital expenditure, the 90% minimum-subscription requirement under the SEBI ICDR Regulations does not apply to this issue.
The company also discloses that a promoter group entity, Krutrim Data Centre Private Limited, has raised financing through non-convertible debentures to fund the promoter's subscription, and that the promoter has pledged shares equal to 4.32% of the company's equity capital as security for that financing. The filing notes that if the pledge is invoked on default, the promoter's shareholding could be reduced.
The context a holder sees
The filing is candid about the company's financial position. It states Ola Electric has incurred losses and negative operating cash flows, with revenue from operations and scooter sales volumes both declining year on year. It also discloses a pending SEBI show cause notice dated 10 April 2026 against the company and the promoter alleging misleading disclosures on store expansion and February 2025 sales figures, for which a settlement application is pending.
For an existing holder, the mechanics matter: rights entitlements that are neither exercised nor sold before the issue closes will lapse without compensation, and shareholders who do not participate will see their proportionate ownership diluted.
