ONGC incorporates petrochemicals marketing JV, takes 50% of new OPML

ONGC, MRPL and OPaL have incorporated ONGC Petrochemicals Marketing Limited to run a single integrated platform for the group's petrochemicals marketing and trading.

What was filed

ONGC told the exchanges that the joint-venture company it flagged on 25 April 2026 has now been formally incorporated. Named **ONGC Petrochemicals Marketing Limited (OPML)**, it was registered as a public limited company on 7 October 2026, following issue of the Certificate of Incorporation by the Registrar of Companies.

The JV is owned by ONGC, Mangalore Refinery and Petrochemicals Limited (MRPL) and ONGC Petro additions Limited (OPaL), with ONGC taking the controlling stake. Per the filing, equity was subscribed at face value on an arm's-length basis, and approval of the Department of Investment and Public Asset Management, Ministry of Finance, had been obtained.

What OPML is meant to do

According to the filing, OPML is intended as a single, integrated, market-facing platform for marketing and trading the ONGC Group's petrochemicals, chemicals and kindred products — spanning branding, business development, pricing, distribution, logistics, customer management, sourcing/trading, and sales and operations planning.

ONGC describes the move as aligned with its existing downstream and petrochemicals business. As a newly incorporated entity, OPML has no operating turnover and no history for the preceding three financial years.

Why a holder might note it

This is a structural step rather than an operating event: ONGC is consolidating the group's petrochemicals marketing under one controlled vehicle alongside its listed subsidiary MRPL and OPaL. The amounts involved are small relative to ONGC's scale, and the company disclosed the subscription as part of a related-party joint venture conducted at arm's length.

The transaction is small in monetary terms, but it establishes a new ONGC-controlled subsidiary to centralise the group's petrochemicals marketing and trading; holders may track whether this platform later consolidates sales across ONGC, MRPL and OPaL.
