What the board approved
One 97 Communications Limited, the parent of Paytm, held a board meeting on 26 October 2026 and cleared several items in one sitting. The headline item was the unaudited standalone and consolidated results for the quarter and half-year ended 30 September 2026, taken on the Audit Committee's recommendation and reviewed by the statutory auditors on a limited-review basis.
Alongside the results, the board approved additional investment into wholly owned subsidiary Paytm Cloud Technologies Limited (PCTL), to be made in one or more tranches over the next twelve months to fund working capital, investments and business expansion. PCTL's own board, in turn, approved a matching investment into its wholly owned subsidiary, Paytm Singapore Pte. Ltd. Both entities remain wholly owned after the transactions, which the company said are on an arm's length basis.
The quarter in brief
On a consolidated basis, the company reported a profit for the period, up from a thin result in the same quarter a year earlier, when exceptional items weighed on the outcome. Revenue from operations grew year on year, while payment processing charges and marketing expenses also rose.
The standalone numbers are not directly comparable with the prior year. The company noted that its offline merchant payment-aggregator business was transferred to subsidiary Paytm Payments Services Limited on a slump-sale basis effective end-November 2025, reshaping standalone revenue and cost lines. That intra-group transfer carries no impact on the consolidated results.
Lending guarantees and the MDR note
The board also expanded Default Loss Guarantees (DLG) tied to its loan-distribution business. Per the filing, the limits for Piramal Finance and Kisetsu Saison Finance were each raised from an earlier ₹90 crore, and new DLGs were approved for Vivriti Capital and UGRO Capital. The guarantees are to be provided as fixed deposits or bank guarantees.
Separately, the filing referenced an NPCI press release dated 13 October 2026 under which MDR is to be implemented after Diwali, on a date to be notified. The company said its payments processing margin is currently above 4 bps and, based on the proposed 0.4% MDR cap on select payments above ₹2,000, it expects an indicative uplift in overall PPM, stabilising over two to three quarters after implementation.
Open regulatory matters disclosed
The auditors drew an emphasis of matter to a Show Cause Notice from the Directorate of Enforcement alleging FEMA contraventions involving the company and two subsidiaries. Per the filing, the RBI has compounded certain matters and observed that matters of about ₹485 crore are in compliance; the company has provided for related compounding fees on a best-estimate basis.
The filing also noted that its joint venture First Games received a demand order on 12 October 2026 reducing a disputed GST liability from an earlier proposed ₹5,712 crore. The company said its exposure to the JV is already carried at nil, so there is no financial impact on the group.
