Renaissance Global swings back to profit in Q1 FY27 as jewellery revenue jumps

The jewellery maker returned to a standalone profit and lifted consolidated revenue and net profit year-on-year for the quarter ended June 30, 2026, and re-appointed Neville Tata as an executive director.

What the board decided

At its meeting on August 07, 2026, the board of Renaissance Global Limited (RGL) adopted the unaudited standalone and consolidated results for the first quarter ended June 30, 2026, after review by the Audit Committee. The statutory auditors, Chaturvedi & Shah LLP, carried out a limited review and reported that nothing had come to their attention to suggest the results contained a material misstatement.

The board also approved the re-appointment of Mr. Neville Tata (DIN: 00036648) as a Whole-time Director designated as Executive Director for five years. Separately, it fixed the 37th Annual General Meeting for Friday, September 18, 2026, to be held through video conferencing, with book closure from September 11 to September 18, 2026, and approved the associated AGM notice and reports.

A swing back to profit

The quarter marks a clear improvement over the same period a year earlier. On a standalone basis, the company reported a profit for Q1 FY27 against a loss in Q1 FY26 — the prior-year quarter had carried an exceptional item tied to the closure of the Bhavnagar unit, which pushed it into the red. On a consolidated basis, both revenue and net profit rose year-on-year.

RGL describes its business as primarily 'Jewellery', with no separate reportable segment. The consolidated results consolidate eleven subsidiaries across the USA, UK and Dubai. The auditors noted that eight of these subsidiaries, reviewed by other auditors, together contributed the bulk of consolidated revenue for the quarter.

ESOP movement and share count

During the quarter, the company granted 51,000 options and allotted 43,000 shares on option exercises under the RGL ESOP Scheme 2021. Per the filing, 10,92,000 options remained pending for exercise and 10,70,500 were available for new grant as on June 30, 2026, with total ordinary equity shares outstanding at 10,73,68,471 after the exercises.

For a holder, the quarter records a swing to profit after a loss-making comparable period that had absorbed a one-off Bhavnagar closure charge, alongside the routine re-appointment of an executive director and AGM housekeeping. The results are unaudited and subject to limited review.
