Sigachi Returns to Profit in June Quarter as Prior-Year Exceptional Loss Falls Away

The company swung back to profit after a large exceptional item dragged the year-ago quarter into loss, and its board forfeited the upfront amount on 3.5 crore lapsed convertible warrants.

What the board approved

At its meeting on 13 August 2026, Sigachi Industries' board approved unaudited standalone and consolidated results for the quarter ended 30 June 2026, together with the limited review reports. The board also acted on lapsed convertible warrants, approved the re-appointment of a director retiring by rotation, and recommended second five-year terms for two independent directors — all subject to shareholder approval at the ensuing AGM.

Back in profit after a heavy year-ago loss

The consolidated results show the company profitable in the June 2026 quarter, a sharp contrast with the year-ago June quarter, which was pushed into a large loss by an exceptional item recorded that period. No exceptional item was recorded this quarter. On the standalone side, revenue from operations was lower than the year-ago quarter, and the swing from loss to profit is driven mainly by the absence of the prior-year charge rather than operating growth. The company reports two segments — Pharmaceuticals, the larger, and Operational and Management.

Warrants forfeited

The board recorded the lapse and forfeiture of convertible warrants issued under SEBI (ICDR) Regulations, 2018. Per the filing, holders did not exercise the conversion option within the 18-month window, so the 25% upfront consideration paid on the warrants stands forfeited. The warrants were originally issued via preferential allotment allotted on 10 August 2023, and the filing notes there is no change in capital structure as a result. The named holders include persons connected to the promoter family, per the disclosure table.

For holders, the quarter's return to profit largely reflects the absence of the large exceptional charge booked a year earlier rather than a rise in operating revenue, which was lower year-on-year on both bases. The warrant forfeiture converts upfront consideration into a one-time gain to the company without altering the capital structure, per the filing.
