Solar Industries Signs Deal to Buy South Africa's Omnia Holdings for ₹12,951 Crore, All-Cash

Step-down subsidiary Solar SA Investments has signed definitive agreements to acquire all shares of JSE-listed Omnia, subject to regulatory and shareholder approvals.

What was filed

Solar Industries India Limited disclosed a press release announcing that Solar SA Investments Proprietary Limited — a wholly owned step-down subsidiary — has signed definitive agreements to acquire all outstanding shares of Omnia Holdings Limited, a diversified South African group listed on the Johannesburg Stock Exchange. The transaction is all-cash and remains subject to customary closing conditions, including regulatory approvals and approval by Omnia shareholders.

This is a signed-agreement stage announcement, not a completed deal. The filing notes it is a summary and should be read alongside a separate joint Firm Intention Announcement released in connection with the offer, hosted on Omnia's investor hub.

What Omnia brings

Per the filing, Omnia is a 73-year-old business operating in 23 countries and serving customers in more than 40 countries through over 70 distribution centres. It spans two segments: a Mining business under the BME brand — covering bulk explosives, electronic detonation systems, digital blasting and mining chemicals — and an Agriculture segment built around crop nutrition and biological solutions.

Solar framed the deal as the next step in a South African expansion that began in 2010, followed by manufacturing in Middelburg in 2017 and the 2024 acquisition of ProBlast. The company said a key attraction is Omnia's integrated nitric acid and ammonium nitrate production, which it expects to strengthen vertical integration and raw-material security across its explosives value chain.

Timing and context

The company said the benefits of the expanded footprint are expected to become increasingly visible from FY2028, describing a multi-fold increase in Solar Group's revenue attributable to Africa's mining market. These are the company's own forward expectations as stated in the press release, not results.

The filing also restated Solar Group's separately announced proposed investment of ₹12,700 crore in Maharashtra for its defence and aerospace platform, noting the group operates more than 40 integrated manufacturing facilities worldwide and serves customers in over 90 countries.

Acquisition consideration
approximately US$1.355 billion (₹12,951 crores)
Omnia revenue (FY ended 31 Mar 2026)
approximately US$1.41 billion (₹13,307 crores)
Omnia countries of operation
23 countries
Omnia employees
more than 3,500 people
Solar Group Maharashtra investment (separately announced)
₹12,700 crores

For a holder, this is a signed but not-yet-closed cross-border acquisition whose consideration is close in size to the target's annual revenue; completion depends on regulatory and Omnia shareholder approvals, and the company itself frames the operational benefits as visible only from FY2028.
