The deal
Solar Industries India Limited disclosed under Regulation 30 that Solar SA Investments Proprietary Limited — a wholly owned step-down subsidiary — has signed a definitive agreement dated September 14, 2026 to acquire the entire issued ordinary share capital of Omnia Holdings Limited, other than treasury shares. Omnia is a diversified chemicals company incorporated in 1953 and headquartered in Johannesburg, serving the mining, agriculture and chemicals application industries. The filing states this is an all-cash transaction, is not a related party transaction, and that the promoter group has no interest in the target.
Why Solar is buying it
The company said the objective is to create a global platform for commercial explosives and blasting solutions — strengthening its international presence, expanding its geographical footprint, enhancing technological capabilities and diversifying operations. Omnia has a physical presence in 23 countries, serves customers in more than 40 countries through over 70 distribution centres, and employs more than 3,500 people. Its mining segment, BME, works in blasting systems, explosives, mining chemicals and metallurgical processing. On completion, Omnia will be delisted from the Johannesburg Stock Exchange and A2X Markets.
Conditions and timing
The acquisition is subject to obtaining all applicable regulatory, statutory and competition approvals across relevant jurisdictions, together with the satisfaction of other customary conditions precedent. Completion is expected in early to mid 2027. In line with South African takeover regulations, the disclosure notes that the Solar board accepts responsibility for the information relating to the Company and the Acquirer.
The target's scale
The filing sets out Omnia's revenue across three financial years in US-dollar terms, alongside the fixed per-share price and total consideration for the all-cash deal — detailed in the key numbers panel below.
