What was filed
Tata Power told the exchanges it has signed a Share Purchase Agreement and acquired the entire equity of Ryapte Power Transmission Limited (RPTL), a project SPV formed to provide transmission service on a Build-Own-Operate-Transfer basis. Per the filing, the acquisition was completed on July 30, 2026 for cash consideration, and the Ministry of Power has approved the share transfer. The disclosure continues an earlier letter dated June 19, 2026. Tata Power confirmed the transaction is not a related-party transaction.
What the SPV is meant to build
RPTL was incorporated on May 21, 2025 specifically to establish a transmission system in Karnataka. Per the filing, the scope covers roughly 250 km of line route — 400 kV and 220 kV double-circuit lines and underground cable connecting substations at Ryapte, the proposed Doddathaggalli GIS substation, Kolar, and existing substations at Ekarajapura, Hosakote and Sarjapura. It also includes new 400/220 kV substations at Ryapte (Tumkur District) and Doddathaggalli (near Hosakote), along with bus reactors. The scheduled date of commercial operation is 30 months from the date of SPV acquisition.
Why it matters to a holder
The asset Tata Power has acquired is a project still to be built, not an operating line — it enters the portfolio at the construction stage. The filing frames this as entry into a defined build-and-operate mandate; any transmission service, and returns, would follow commissioning after the stated construction window.
