What the board approved
Time Technoplast's board, acting on recommendations from its Audit Committee and Committee of Independent Directors, has approved a scheme of amalgamation — a merger by absorption — of TPL Plastech Limited into the parent, per the filing. The decision follows an in-principle approval given earlier, after which the board reviewed the valuation report and share exchange ratio. The scheme carries an Appointed Date of April 1, 2026, and is framed under Sections 230 to 232 of the Companies Act, 2013.
TPL Plastech is already a 74.86% subsidiary of Time Technoplast. Under the scheme, TPL would be dissolved without winding up, the shares the parent holds in TPL would be cancelled, and new equity would be issued only to TPL's remaining minority shareholders at the agreed ratio.
The terms and the rationale
The share exchange ratio was arrived at from a valuation report by an independent registered valuer and confirmed by a fairness opinion from a Category 1 Merchant Banker, the company said. Because the transaction arises from an amalgamation under the Companies Act, the filing notes it does not attract related-party transaction requirements under Section 188.
In its own terms, the company frames the rationale as integrating the manufacturing units and product lines of both companies, simplifying the group structure, reducing related-party transactions, and pooling financial, managerial and technical resources. Both companies operate in overlapping industrial-packaging lines — plastic drums, jerry cans and Intermediate Bulk Containers — with Time Technoplast also carrying composite products, PE pipes and other lines.
Approvals still pending
The scheme is not yet effective. It remains subject to statutory and regulatory approvals, including from BSE and NSE, the jurisdictional National Company Law Tribunal bench, and the shareholders and creditors of both companies. The filing also flags that the actual number of shares issued will depend on TPL's shareholding pattern as on a Record Date to be set once the scheme becomes effective, so the post-merger figures disclosed may change.
