Time Technoplast to weigh merger of 74.86%-held TPL Plastech into itself

Its board meets on 29 September 2026 to consider a scheme absorbing listed subsidiary TPL Plastech Limited into the parent.

What was filed

Time Technoplast Limited has told the exchanges, under Regulation 29 of SEBI's LODR Regulations, that its board of directors will meet on Tuesday, 29 September 2026. Among the items to be taken up is approval of a scheme of merger — together with the valuation report and fairness opinion — to absorb TPL Plastech Limited into Time Technoplast Limited.

TPL Plastech is the transferor company and is itself listed on both BSE and NSE; Time Technoplast, the transferee, is the parent that already holds a majority stake in it. The merger would be pursued under Sections 230 to 232 of the Companies Act, 2013.

An intimation, not an approval

This is a notice of a scheduled board meeting rather than a decision. The scheme, the valuation basis and any share-exchange terms have not yet been placed before the board and are not disclosed in this filing.

The company noted that the proposal, once approved, would remain subject to further clearances — from shareholders, the stock exchanges where the shares are listed, and the National Company Law Tribunal, as applicable. A holder should read this as the opening step of a multi-stage process.

Because TPL Plastech is separately listed and Time Technoplast owns a majority but not all of it, the eventual scheme terms — particularly any swap ratio for TPL Plastech's minority holders and its effect on Time Technoplast's share count — will be what matters most; none of that is disclosed in this intimation.
