Titagarh and BHEL sign 50:50 JV to maintain 80 Vande Bharat trainsets for 35 years

Titagarh Rail Systems and BHEL have signed an agreement to form an equally owned company that will handle 35-year comprehensive maintenance of the 80 Vande Bharat trainsets under the Indian Railways project.

What was filed

Titagarh Rail Systems Limited (TRSL) told the exchanges that on 15 September 2026 it executed a Joint Venture Agreement with Bharat Heavy Electricals Limited (BHEL) to set up a jointly owned company for the maintenance of 80 Vande Bharat trainsets under the Indian Railways project for "Manufacturing cum Maintenance of 80 Vande Bharat Trainsets including Upgradation of Government Manufacturing Units & Trainset Depots and Comprehensive Maintenance for 35 years." The agreement follows the company's earlier disclosures dated 2 March 2023, 11 April 2023 and 19 March 2026.

Structure of the joint venture

Per the filing, the JV company will be incorporated as a private limited company with its registered office in Delhi and held equally by TRSL and BHEL, each nominating two directors to its board. The agreement carries special rights covering director appointments, first right to share subscription on any issuance, and restrictions on changes to the capital structure. The company said the transaction is not a related-party transaction and that its promoter group has no interest in the new entity. The JV company is yet to be incorporated.

Why it matters to a holder

The filing frames the venture as extending TRSL's role from manufacturing Vande Bharat rolling stock into long-term maintenance and lifecycle support. The company said the 35-year comprehensive maintenance programme is expected to let it leverage existing engineering and railway-sector capabilities and expand across the rolling stock value chain. Beyond the small initial paid-up capital, the financial contours of the JV are not disclosed, and the company said it will update the exchanges on further developments in due course.

Number of Vande Bharat trainsets
80 trainsets
Maintenance period
35 years
Initial paid-up capital of JV
INR 50,00,000 (INR Fifty Lakh)

For a holder, the filing marks TRSL formally moving into a 35-year maintenance mandate alongside BHEL, extending its exposure from one-time rolling stock supply toward recurring lifecycle-support work; the revenue and cost terms of the venture are not quantified in this disclosure.
