Triveni Engineering Allots 14.65 Lakh New Shares to SSEL Holders Under NCLT-Sanctioned Scheme

A board sub-committee approved the allotment of fresh equity to Sir Shadi Lal Enterprises shareholders, completing a share-exchange step of the composite scheme of arrangement.

Triveni Engineering & Industries Limited told BSE and NSE that, on June 9, 2026, the Executive Sub-Committee of its Board approved the allotment of new fully paid-up equity shares to the eligible shareholders of Sir Shadi Lal Enterprises Limited (SSEL). The allotment was made per the share exchange ratio fixed under a Composite Scheme of Arrangement among Triveni (the amalgamated company), SSEL (the amalgamating company) and Triveni Power Transmission Limited (the resulting company).

The scheme was sanctioned by the National Company Law Tribunal, Allahabad Bench, through orders dated May 7, 2026 and May 18, 2026. June 3, 2026 had earlier been fixed as the record date for determining which SSEL shareholders were eligible to receive Triveni shares.

Effect on share capital

The newly allotted shares have a face value of Re.1 each and, per the filing, rank pari-passu with the company's existing equity shares. The company said these shares are proposed to be listed and traded on both BSE and NSE pursuant to the scheme.

Following the allotment, Triveni's paid-up equity share capital has been increased to the figure stated below, divided into shares of Re.1 each.
