Uday Jewellery to change auditor, lift borrowing limits and pay FY26 dividend, alongside Q1 results

The board cleared unaudited Q1 FY27 results and a full AGM slate — a new statutory auditor, higher borrowing and lending limits, and a FY26 dividend with a 21 September record date.

What the board approved

At its meeting on 13 August 2026, the board of Uday Jewellery Industries Limited approved the unaudited standalone financial results for the quarter ended 30 June 2026, on the recommendation of the Audit Committee. The statutory auditors, M/s Anant Rao & Mallik, issued a limited-review report with an unmodified conclusion. The company operates in a single segment (gems and jewellery), so no segment breakdown was disclosed.

The results are stated on a merged basis. Per the filing, the NCLT approved the merger of Narbada Gems and Jewellery Limited into Uday Jewellery on 21 January 2026, with an appointed date of 1 April 2024, and prior-period figures have been restated to reflect the combined entity — a point worth noting when comparing quarters.

A crowded AGM agenda

Beyond the quarterly numbers, the board cleared a long list of items for the 27th Annual General Meeting, set for 28 September 2026 via video conferencing. Chief among them: the appointment of M/s Venugopal & Chenoy, Chartered Accountants, as statutory auditors for a first term of five consecutive years (FY2026-27 to FY2031-32), replacing the retiring firm whose term ends at the AGM.

The board also recommended raising the company's borrowing powers under Section 180(1)(c) and its loans/guarantees/investments limit under Section 186, and fixed 21 September 2026 as the record date for a FY2025-26 dividend. Related-party appointments of two individuals to 'place of profit' roles were approved, along with e-voting and book-closure mechanics.

Financing and merger housekeeping

Several resolutions relate to funding and to closing out the Narbada merger. The board approved applying for an additional credit facility from Kotak Mahindra Bank under the ECLGS scheme for working-capital needs, availing a corporate credit card facility from the same bank, and opening a separate dividend distribution account with HDFC Bank.

On the merger, the board authorised closure of bank accounts held in the erstwhile Narbada Gems & Jewellery Limited's name, noted updates on the merger and on the listing of shares issued on warrant conversion, and noted a listing application filed with NSE under direct-listing norms.

For a holder, this single filing carries several items going to a shareholder vote at the 27th AGM — a change of statutory auditor, higher borrowing and lending limits, and a FY26 dividend with a 21 September record date — alongside quarterly results stated on a merged (post-Narbada) basis, which affects how prior periods compare.
