Vodafone Idea Takes 26% Stake in Renewable SPV for Captive Solar Power

The telecom operator has invested ₹4.33 crore for a 26% equity stake in MTK Quantum Green Energy, a special purpose vehicle set up to run a captive solar power plant in Tamil Nadu.

Vodafone Idea told the exchanges it has completed the acquisition of a 26% equity stake in MTK Quantum Green Energy Pvt. Ltd., a special purpose vehicle. This follows the company's earlier intimation dated 20 May 2026, when it announced the planned acquisition alongside a Shareholder's Agreement and a Power Purchase Agreement for the venture. The transaction was settled in cash. Per the filing, the promoter and group companies have no interest in the target, and the deal does not fall within related party transactions.

Why the SPV exists

MTK Quantum, incorporated on 29 October 2025, was formed to set up solar and wind power plants for generating, transmitting and distributing power. The company said it is currently setting up a captive solar power plant in Tamil Nadu, and the entity had nil turnover with no operating history. Vodafone Idea framed the stake as a step to comply with the regulatory requirement for captive power plants under the Electricity Act, 2003 and the Indian Electricity Rules, 2005, and to procure cost-effective renewable energy. No governmental or regulatory approvals were required for the acquisition.
