What was filed
On August 14, 2026, Zaggle's board approved the standalone and consolidated unaudited results for the quarter ended June 30, 2026, filed under Regulations 30 and 33 of SEBI's LODR rules. Statutory auditor MSKA & Associates LLP issued a limited review report, noting nothing that would cause it to believe the statements contain a material misstatement. This is Zaggle's first quarter of FY2026-27.
How the quarter looked
Consolidated revenue from operations grew against the year-ago June quarter but stepped down sequentially from the March quarter — a pattern consistent with the seasonal weighting of Zaggle's gift-card and Propel platform business. Profit for the period, however, came in below the prior-year quarter: the two largest cost lines, cost of point redemption/gift cards and incentives and cash back, expanded with revenue and compressed the margin. The result also carried a share of profit from associate Mobileware Technologies. Group revenue remains almost entirely within India, split across Program fee, Propel platform/Gift cards and Platform/SaaS/Service fee lines.
Acquisitions and QIP proceeds in progress
The filing flags several corporate actions still in motion. Zaggle has proposed to acquire certain assets from Dice Enterprises Private Limited under an Asset Purchase Agreement, a transaction it says is being completed. After the quarter closed, the board approved an investment to acquire up to 19.9% of Unobanc Private Limited. The consolidated group has also expanded through wholly owned subsidiaries added during FY26, including Rivpe Technology (effective June 11, 2026). Of the net QIP proceeds raised in 2024-25, the company disclosed the portion utilised as at June 30, 2026, with the balance temporarily parked in bank deposits and a monitoring account.
