Zaggle to take up to 19.9% stake in cross-border payments firm Unobanc

The board approved a cash investment of up to ₹7.97 crore in RBI-licensed remittances firm Unobanc, subject to definitive agreements.

What the board approved

Zaggle Prepaid Ocean Services said its board, at a meeting on July 21, 2026, approved investing in Unobanc Private Limited in one or more tranches. On completion — subject to definitive agreements — Zaggle would hold up to 19.9% of Unobanc's equity share capital. The consideration is in cash, and the company expects to complete the acquisition within 90 days. Zaggle noted the transaction is not a related-party transaction and that its promoter group has no interest in the target.

What Unobanc does

Per the filing, Unobanc is a wholly owned subsidiary of Hop Financial Solutions Limited, incorporated on January 24, 2019, and operating in India. It provides technology infrastructure for digital cross-border payments and remittances. Zaggle said Unobanc holds a Fully Fledged Money Changing (FFMC) licence and has received in-principle approval from the Reserve Bank of India for an Authorised Dealer Category II licence.

Why Zaggle says it matters

The company framed the investment as a way to strengthen its cross-border payments, forex and remittances capabilities, and to extend forex financial solutions to corporate and retail customers beyond India. This is a minority stake rather than an acquisition of control, and remains conditional on execution of definitive agreements.

‡ Computed by us from the filing’s own figures — not a company-stated number.

For a Zaggle holder, this is a minority equity investment that ties the company to a licensed cross-border payments business; the stake and cash outlay are disclosed, but completion depends on definitive agreements and the size relative to Zaggle's broader business is not stated in this filing.
