DLF posts ₹2,103 crore H1 net profit; Q2 revenue falls, CCD fair-value gain lifts other income

DLF's board approved un-audited results for the quarter and half-year ended 30 September 2026, with consolidated Q2 operating revenue lower year-on-year and a fair-value gain on debentures boosting other income.

What was filed

DLF Limited told the NSE and BSE that its board, meeting on 16 October 2026, approved the un-audited standalone and consolidated financial results for the quarter and half-year ended 30 September 2026, filed under Regulation 33 of SEBI's Listing Regulations. The statutory auditors, S.R. Batliboi & Co. LLP, carried out a limited review and issued an unmodified conclusion on both the standalone and consolidated statements.

The filing covers the full set of statements — profit and loss, balance sheet, cash flow and segment data — with explanatory notes on litigation, a prior-year settlement, a merger scheme and dividend.

The results in brief

On a consolidated basis, quarterly revenue from operations was lower than in the same quarter a year earlier, while reported net profit for the quarter was broadly in line year-on-year. A substantial portion of the period's other income reflected a fair-value gain rather than operating activity.

Per Note 10, the Group fair-valued 243,140 compulsorily convertible debentures after the moratorium on three tranches expired, producing a gain recorded in other income during the quarter and half-year. The company now reports a separate Rental segment, split out from the previous quarter, alongside its real-estate development segment; the filing states the operations are domiciled only in India, so there is no reportable geographic segment.

Litigation and other notes

The auditors flagged an Emphasis of Matter covering several unresolved legal matters that carry no adjustment in the accounts. These include a Competition Commission of India penalty against the company, upheld by the appellate tribunal and pending before the Supreme Court, with the penalty amount deposited under protest; cancelled sale deeds relating to two IT SEZ/IT Park projects in Gurugram, where the Supreme Court has stayed the impugned judgments; and a long-running SEBI matter concerning disclosures in the 2007 Red Herring Prospectus, now pending before the Supreme Court. Management states, on legal advice, that it expects to succeed in these matters and has made no provision.

The notes also record a dividend of ₹8 per equity share declared at the 61st AGM on 3 August 2026, and the NCLT-approved amalgamation of 16 transferor companies into DLF, which led the prior-year comparatives to be restated for one transferor.

For a holder, these half-yearly results set out DLF's reported profit, segment mix and the standing of several unresolved legal matters that carry no provision in the accounts. The fair-value gain on debentures and the newly separated Rental segment bear on how the headline profit figure reads against ongoing operations.
