What the board approved
The board of Billionbrains Garage Ventures Limited — the parent of the Groww platform — met on 14 October 2026 and approved unaudited standalone and consolidated results for the quarter and half year ended 30 September 2026. Statutory auditors BSR & Co. LLP issued an unqualified limited-review conclusion on both sets of results.
The board also approved requests from certain promoter-group members to be reclassified from the "Promoter Group" category to the "Public" category, subject to approvals under Regulation 31A of the SEBI Listing Regulations. The company said it is in the process of making the necessary applications and submissions to the stock exchanges.
The first half-year since listing
This is the company's first set of half-year results since its shares listed on the NSE and BSE on 12 November 2025. On a consolidated basis, revenue from operations and profit both rose versus the same six-month period a year earlier (figures are in the key-numbers panel). The group runs a single reportable segment — the sale of financial services through its web and app platform, within India.
The filing also records several structural moves during the period. The State Street Global Advisors investment into Groww Asset Management completed on 4 August 2026, producing a standalone gain on sale of investment in a subsidiary. Separately, the board noted a Composite Scheme of Arrangement to demerge and amalgamate certain wholly-owned subsidiaries, with an appointed date of 1 April 2027. The company said that scheme has no impact on its shareholding, control or economic interest and is not reflected in these results.
IPO proceeds: no deviation reported
The accompanying deviation statement reports no deviation or variation in the use of IPO proceeds. Per the filing, the net fresh-issue proceeds have been almost entirely deployed against the stated objects — cloud infrastructure, brand and marketing, capital for NBFC subsidiary Groww Creditserv, and funding the margin-trading business at Groww Invest Tech — with only a small residual unutilised. Crisil Ratings is named as the monitoring agency.
