Groww parent flags a tiny insider-trading code breach: contra trades worth under ₹1,000

Billionbrains Garage Ventures told the exchanges a finance manager inadvertently ran contra trades in a few of its own shares, with no profit disgorged as the trades were in loss.

What was filed

Billionbrains Garage Ventures, which operates under the Groww brand, reported to BSE and NSE a violation of its Code of Conduct under the SEBI (Prohibition of Insider Trading) Regulations, 2015. The breach was the execution of contra trades in the company's own equity shares by a Designated Person — Sankalp Yadav, a Finance (Manager) in Business Finance, who is not a promoter or part of the promoter group.

How it happened, per the filing

The company said the trades were inadvertent. During the quarter Mr. Yadav was moved to a non-critical team, and given his revised role his continuance on the Designated Person list after August 1, 2026 was not warranted. Because the DP list is updated at least twice a quarter, his name could not be removed before the trades took place — producing this reportable instance. The Audit Committee noted that no profit was disgorged, as the trades were executed at a loss. The company recorded no previous instances of violation since the last financial year.

Scale and context

The amounts are very small — a handful of shares, aggregating well under ₹1,000 across the relevant dates (see the key figures). The filing notes the per-quarter reporting threshold of ₹10 lakh was not triggered, and no amount was collected for the code violation.

Shares sold on Aug 26, 2026
2 shares for Rs. 392.26
Shares bought on Sep 17, 2026
1 share for Rs. 191.83

This is a routine regulatory self-report of a small, loss-making contra trade by a non-promoter employee; it matters chiefly as a compliance record, with no financial impact on the company and no profit disgorgement.
