What was filed
Larsen & Toubro told the exchanges that the Mumbai bench of the National Company Law Tribunal, by an order dated August 18, 2026 (uploaded to the NCLT website on September 1, 2026), admitted the joint company scheme petition for a Scheme of Arrangement between Larsen & Toubro Limited (the Transferor Company) and L&T Realty Properties Limited (the Transferee Company), pursued under Sections 230 to 232 of the Companies Act, 2013.
This is a procedural update on the court process, not a disclosure of commercial terms. The scheme document, share entitlement and valuation details are not set out in the intimation.
Where the process stands
Per the enclosed order, the first motion order was passed on June 12, 2026, read with rectification orders of June 16 and June 25, 2026, after which L&T convened the meeting of its equity shareholders and sent notices to creditors of both companies.
With the petition now admitted, the Tribunal has directed notices to statutory and sectoral regulators — including SEBI, RBI, the Registrar of Companies and income-tax authorities — who may file representations within 30 days. The petition is listed for hearing on October 6, 2026, with notice to be published in the Business Standard (Mumbai) and Loksatta (Mumbai) editions.
