The project and the terms
The SPV will establish an inter-state transmission system covering augmentation and bay extension works at the Bhadla-III and Ramgarh substations in Rajasthan and the Kanpur substation in Uttar Pradesh. The purchase was made for cash. The SPV was newly incorporated on 8 May 2026 by the Bid Process Coordinator, has not yet begun commercial operations and has recorded no turnover — so the acquisition is effectively a licence to build and operate a new transmission asset rather than a purchase of an operating business. The company noted the acquisition price is subject to adjustment based on the audited accounts of the SPV as on the acquisition date.
What still has to happen
Requisite approvals for the transfer were obtained by the Bid Process Coordinator. Following the acquisition, the SPV must still obtain the Grant of Transmission Licence and Adoption of Transmission Charges from the Central Electricity Regulatory Commission. The acquisition is not a related-party transaction; POWERGRID had no prior interest in the entity.
