What was filed
TCS disclosed that the board of its wholly owned subsidiary, Tata Consultancy Services Netherlands B.V., approved the acquisition of 100% of MHP Management- und IT-Beratung GmbH, a consulting subsidiary of Porsche AG. A Share Purchase Agreement was executed the same day. Per the filing, MHP is an automotive and industrial consulting firm with expertise in business consulting, digital transformation, AI, SAP and manufacturing digitalization, headquartered in Ludwigsburg, Germany, and present across Romania, the UK, the USA, India and Mexico through subsidiaries.
The partnership behind the deal
The acquisition is one part of a broader strategic partnership with Porsche. Alongside buying MHP, TCS said it will set up a dedicated AI Mobility Centre of Excellence for Porsche, and the automaker has committed to a five-year strategic deal spanning both MHP and TCS. The company frames the arrangement as anchoring a long-term AI transformation agenda across Porsche's engineering, manufacturing, operations and customer experience, and as strengthening TCS's presence in the German market and among European automotive and industrial customers. The filing notes the acquisition is not a related party transaction, and that neither the promoter group nor group companies hold any interest in MHP.
Conditions and timing
Completion is subject to regulatory approvals and conditions precedent. The filing lists clearances required from the European Commission under EU merger control, the EU Foreign Subsidies Regulation, and Romania's foreign direct investment authority, plus an application for a certificate of non-objection to Germany's Federal Ministry of Economy and Energy. The consideration is in cash, and the company said the deal is expected to close within three to four months. Deutsche Bank acted as financial advisor and Noerr as legal counsel to TCS.
